We are currently seeking experienced company secretaries to join our bench and support long-term needs for our F500 clients in financial services. Depending on the experience of the talent, the responsibilities may vary:
Responsibilities:
Senior Manager, Company Secretarial
- Handle company secretarial matters for the Listed company and ensure compliance with Listing Rules
- Compile annual and interim reports, announcements, circulars, alongside corporate filings, etc.
- Perform research on listing rules compliance as when required
- Offer company secretarial support for group entities and participate in group level special projects
Company Secretarial Manager
- Organize board and committee meetings for subsidiaries, and draft minutes
- Draft annual returns and handle other corporate filings; provide analysis on relevant law and regulations as when required
- Engage in projects requiring company secretarial support.
- Maintain and update company secretarial records, registers, and statutory filings.
Job Requirements:
Common Requirements:
- Degree in relevant discipline with Associate Membership or higher from HKCGI/ICSA.
- Bilingual proficiency in English and Chinese.
- Ability to manage multiple tasks and shifting priorities, with excellent organizational skills.
- Mature, self-motivated with a keen eye for detail, and the capability to work independently.
Senior Manager, Company Secretarial:
- A minimum of 10 years of pertinent experience, with at least 4 years in a managerial role from large/sizable listed companies.
- Demonstrated expertise in compliance with Listing Rules and Companies Ordinance, SFO, etc. with research capabilities.
- Well-developed interpersonal skills and a positive work attitude.
Company Secretarial Manager:
- 7 to 10 years of relevant experience, preferably in banking or financial services.
- Ability to draft minutes
- Familiar with the relevant laws and regulations including Hong Kong Companies Ordinance, Bermuda Companies Act, etc.
- Proven organizational skills with experience in workflow planning.
